Membership Terms and Conditions

1. Application

1.1
These membership terms and conditions (“the Terms”) apply to all memberships and other agreements regarding training entered into between an individual (“Member”) and Energii Group Administration ApS, CVR No. 25593332 (“Energii”).

2. Creation

2.1
You can sign up for a membership through Energii’s website or by visiting one of Energii’s fitness centers in person.

2.2
The agreement becomes binding only upon the Member’s receipt of a written order confirmation.

2.3
You must be at least 15 years old to become a member.

2.4
Unless otherwise agreed, new members are offered one free trial class per member. This offer is valid only for members who have not previously been members. This offer does not apply to Bungee Fly classes.

2.5
A sign-up fee of 49.00 DKK is charged when you sign up for a student membership. This is a one-time fee paid upon signing up for the membership.

2.6
Membership is personal and may not be used by others.

2.7
The Member is responsible for ensuring that their contact information and bank details are provided correctly and are kept up to date in the Member’s profile on Energii’s website.

3. Active memberships

3.1
Energii offers memberships that provide access to workouts for a fixed monthly fee (“Ongoing Memberships”).

3.2
The types of Ongoing Memberships offered by Energii, as well as their prices and specific terms and conditions, are listed on Energii’s website.

3.3
Current memberships are automatically renewed on the 1st of each month until canceled or terminated.

3.4
The monthly payment for Ongoing Memberships is due on the 1st of each month. Payment must be made via a payment service designated by Energii for automatic payment. The member is responsible for setting up automatic payment correctly.

3.5 Changes to Current Memberships

3.5.1
To change an Active Membership from one type to another, please contact Energii at info@energii.dk.

3.5.2
A change from a Current Membership to a more expensive type of Current Membership may take effect on the 1st of the current or following month.

3.5.3
You may switch from a Current Membership to a less expensive type of Current Membership by providing one month's notice, effective at the end of the month.

3.5.4
When changes are made to Active Memberships, all future team registrations are deleted as of the time the change takes effect.

3.6 Bero

3.6.1
Unless otherwise specified in the specific terms and conditions for each membership type on Energii’s website, Active Memberships may be suspended upon payment of a fee of 149.00 DKK.

3.6.2
Detention may last for a minimum of 7 days and a maximum of 6 months at a time.

3.6.3
An Active Membership cannot be terminated while it is on hold. The notice period does not begin until the hold is lifted and the membership is reactivated.

3.6.4
Youth and student memberships can be suspended by contacting info@energii.dk and providing your first name, last name, membership number, and the start and end dates of the suspension. Other active memberships can be suspended via Energii’s website or app.

3.7 Termination of Active Memberships

3.7.1
Members may terminate their ongoing membership in writing at any time with one month’s notice, effective at the end of a month. However, termination is not permitted while the membership is on hold; see the section on membership hold above. Youth and student memberships may be canceled by contacting info@energii.dk and providing your first name, last name, and membership number. Other ongoing memberships may be canceled via Energii’s website or app.

3.7.2
Energii may terminate the Member’s Active Membership at any time and without cause, with one month’s notice effective at the end of a month.

4. Annual Pass

4.1
Energii offers memberships that allow members to work out for a specific number of months in exchange for a one-time payment (“Annual Pass”).

4.2
The types of Annual Passes offered by Energii, as well as their prices and special terms and conditions, are listed on Energii’s website.

4.3
The one-time fee for the Annual Pass is due upon sign-up and is therefore paid in advance.

4.4
Annual passes cannot be canceled or put on hold.

5. Multi-Ride Pass

5.1
Energii offers memberships based on punch cards, which provide access to a specific number of workouts in exchange for a one-time payment (“Punch Card”).

5.2
The types of prepaid cards offered by Energii, as well as their prices and specific terms and conditions, are listed on Energii’s website.

5.3
The one-time fee for the Klippekort is due upon sign-up and is therefore paid in advance.

5.4
The multi-session pass must be used within the time period specified in the special terms and conditions for that specific type of multi-session pass. If the Member is unable to use all sessions within the period, the period may be extended by one or more months for a fee of 149.00 DKK per month.

5.5
To renew your membership, pay an amount corresponding to the desired number of months via MobilePay to 48847, and then send an email to info@energii.dk with proof of payment, along with your first name, last name, membership number, and the duration of the renewal.

5.6
A punch card cannot be canceled or put on hold.

6. Signing Up for and Dropping Class Sessions

6.1
You can sign up for and cancel group classes via Energii's website or app.

6.2
Members must arrive for group classes no later than 3 minutes before the class begins. After that, the Member will be considered absent, and the spot will be assigned to someone on the waiting list.

6.3
Attendance is recorded by checking in with the instructor or via the app. It is the Member’s responsibility to ensure accurate and timely check-in.

6.4
Cancellations for group classes must be made no later than 10:00 p.m. the day before. However, for group classes starting at 12:00 p.m. or later, cancellations may be made up to 6 hours before the class begins.

6.5
In the event of a no-show or late cancellation, a fee of 75.00 DKK per class hour will be charged. If the Member was registered using a session pass, one session or one session credit will also be deducted from the pass.

7. Purchasing Products Through a Member Account

7.1
If the Member has an Active Membership, the Member may purchase beverages, exercise equipment, or other products at Energii’s centers through the Member’s membership account.

7.2
Purchases made through a member account require that the member’s card information be linked to the member’s profile. Card information can be added and updated on Energii’s website or app.

7.3
Payment for purchases made through the member account will be charged along with the membership fee during the next monthly billing cycle. Energii may, without notice, set a general spending limit for purchases made through the member account.

8. Behavior and Equipment

8.1
Unless otherwise stated in the description of each class on Energii’s website, all training must be done while wearing non-slip toe socks and gloves.

8.2
For certain group classes, you may be required to bring a towel to use as a mat.

8.3
Energii’s centers are child-free. Energii aims to create a sanctuary and a relaxing environment amid the hustle and bustle of everyday life; therefore, children are not permitted at training sessions—not even in the waiting areas.

8.4
It is not permitted to use Energii’s premises for filming and/or taking photographs for commercial purposes without a prior written agreement with Energii.

8.5
Violent or threatening behavior, as well as behavior that may be perceived as offensive or disrespectful, is not permitted.

9. Footage for promotional purposes

9.1
Footage may be recorded during a training session for promotional purposes on Energii’s social media channels. In such cases, the Member will be asked for consent prior to the recording.

10. Repeal

10.1
Energii has the right to terminate a membership immediately and without notice if the Member materially breaches its obligations to Energii.

10.2
Late or non-payment of any amount due shall always constitute a material breach.

11. Right of Withdrawal

11.1
If the Member has created their membership on Energii’s website or app, the Member has the right to withdraw from the agreement without giving a reason within 14 days from the date the membership was created. If the Member exercises the right of withdrawal, Energii will refund any related payments received from the Member; however, see below regarding services that have already begun.

11.2
To exercise the right of withdrawal, the Member must provide written notice to Energii. The Member may use Energii’s standard withdrawal form, which is attached to the order confirmation and may also be requested by writing to info@energii.dk.

11.3
Once Energii has received notice that the Member wishes to exercise their right of withdrawal, Energii will send a confirmation that the membership has been terminated and that any amounts have been refunded.

11.4
If the Member wishes to use the membership before the cancellation period has expired, Energii will request the Member’s express consent to begin service during the cancellation period. If the Member subsequently exercises their right of withdrawal, the Member shall pay a pro-rata amount for the portion of the service provided up to the time Energii receives notice of withdrawal. The remaining amount will be refunded.

12. Liability

12.1
All training is conducted at the member’s own risk. The member is responsible for ensuring that their health condition allows them to train at Energii, as well as for having received the necessary instruction on the proper performance of training exercises and the operation of equipment.

12.2
Energii is not liable for losses resulting from loss, theft, or property damage occurring at Energii’s centers.

12.3
Energii is not liable for errors or technical issues with Energii’s website or app. Furthermore, Energii reserves the right to correct pricing and typographical errors.

12.4
Energii cannot be held liable for the Member’s indirect losses, including operating losses, lost earnings, and similar consequential damages.

12.5
Energii cannot be held liable for any failure to fulfill its obligations to the Member due to circumstances beyond Energii’s control. Such circumstances include, but are not limited to, labor disputes, operational disruptions, explosions, fires, natural disasters, government restrictions, acts of terrorism, environmental measures, epidemics, pandemics, and war.

13. Changes

13.1
Energii may make changes to the types of memberships, services, and products it offers from time to time, provided such changes are justified by (i) changes in demand, (ii) financial considerations, (iii) practical circumstances, or (iv) changes in legislation or public regulation.

13.2
Energii may, from time to time, adjust prices and change or introduce new fees when such changes are justified by (i) changes in legislation or public regulation, (ii) changes in Energii’s costs associated with providing services to the Member, (iii) adjustments for inflation, or (iv) changes to Energii’s offerings of membership types, services, or products.

13.3
Energii may make changes to the Terms from time to time when such changes are justified by (i) changes in legislation or public regulation, (ii) changes in Energii’s costs associated with providing services to the Member, (iii) security, technical, or organizational considerations, or (iv) changes in Energii’s offering of membership types, services, or products.

13.4
The member will be notified of changes at least 2 months in advance of the change taking effect via email and/or a message in the Energiis app.

13.5
Energii cannot make changes to prices, fees, or terms for Annual Passes and Multi-Visit Passes that have already been sold. Changes made to these types of memberships will apply only to future Annual Pass and Multi-Visit Pass agreements.

14. Governing Law and Jurisdiction

14.1
All matters covered by these Terms and Conditions are governed by Danish law. Any disputes that cannot be resolved amicably shall be settled by the Danish courts, with the District Court of Frederiksberg as the court of first instance.

14.2
If a translated version of the Terms is available, the Danish version shall prevail in the event of any discrepancy.

14.3
If a dispute cannot be resolved amicably with Energii’s customer service, the Member may file a complaint with Nævnenes Hus, Center for Klageløsning, Toldboden 2, 8800 Viborg, www.naevneneshus.dk. Complaints may also be filed via the European Commission’s online complaint portal at ec.europa.eu/odr.

15. Promotion Terms – 1 DKK for the first month

15.1
This offer gives you your first month for 1 kr.

15.2
The promotional period runs from the date of subscription for one month.

15.3
Your membership does not end automatically. After the promotional month, it will continue at the selected membership level at the standard price in effect at that time. The current prices are 349 DKK and 399 DKK per month.

15.4
Cancellation requires one month’s notice, effective at the end of a month. You may cancel at any time, including during the promotional month, but the cancellation will take effect no earlier than the end of the notice period. You will therefore be charged for at least one month at the regular price in addition to the promotional month.

15.5
Your total minimum payment is therefore 350 DKK or 400 DKK, depending on the membership plan you choose. This assumes that you cancel no later than the end of the promotional month. If you cancel later, you’ll pay the regular price for each month or portion thereof until the notice period expires.

15.6
The first payment at the regular price will be charged 30 days after your subscription begins.
